This agreement is made between Designer and Client on the day it is executed by both parties.

The work

The designer agrees to produce, and the client agrees to purchase. The work described in the attached Project Description. This agreement shall govern all dealings between the parities even though the scope of the work or Project Description may subsequently be modified.

Fee

Rights to the Work

The agreement conveys to the Client only those rights in the work which are expressly stated to be conveyed in the Project Description. The rights to the use of the work shall not transfer to the Client until all money due to the Designer is paid. Any rights previously transferred to the Client shall revert to the Designer if the Client should subsequently breach this agreement.

Cancellation

Either party may cancel this agreement prior to the completion by giving written notice to the other party. The Designer shall then be due a cancellation fee equal to the amount of time spent by the Designer times the Designer's hourly rate, plus any expenses already incurred, in the event of cancellation, ownership of all rights to the work will be retained by the Designer.

Modifications

Modifications to any of the terms of this agreement, or the Project Description require the express written approval of both parties.

Errors in Copy

The Designer shall not be liable for any errors in the final work product. The Client shall have the ultimate responsibility for reviewing and approving the work prior to production.

Delay

The Designer shall not be responsible for any delays in the production of the work which is the result of the Client's, Vendor's or third party's act, or other events beyond the Designers control.

Enforcement

Should there be any disagreement regarding the terms of this agreement, the Client and the Designer will submit to arbitration to come to settlement.

Sole Agreement

This agreement and the Project Description are the entire agreement of the Client and Designer, and supercede all oral negotiations and prior writings.

The individual(s) signing this agreement for the Client warrants that they are fully authorized to represent the Client on this agreement.
